Terms of ServiceIntelligent Operations Agreement

These terms govern your use of the OPTRIX platform and related services. Please read them carefully before using our platform.

1. Acceptance of Terms

By accessing or using the Vieaura OPTRIX platform and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Vieaura provides the OPTRIX intelligent operations platform, which includes:

  • CogniFlow: AI-powered workflow optimization
  • MENTOR: Intelligent training and guidance systems
  • Remote Assist: Real-time operational support
  • ANDA: Advanced analytics and decision assistance
  • RailSight: Railway operations intelligence
  • ShipLens: Maritime operations optimization
  • RACE: Real-time automated control environment

3. User Accounts and Registration

To access certain features, you must create an account and provide accurate information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and up-to-date account information

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Attempt to gain unauthorized access to our systems
  • Use the Services to harm others or disrupt operations
  • Reverse engineer or attempt to extract source code
  • Share access credentials with unauthorized parties

5. Data and Privacy

Your use of our Services is subject to our Privacy Policy. We implement SOC2 Type II compliant security measures and maintain ITAR readiness to protect your operational data. You retain ownership of your data, and we will not access it except as necessary to provide Services or as required by law.

6. Intellectual Property

The OPTRIX platform, including all software, algorithms, interfaces, and documentation, is protected by intellectual property laws. Vieaura retains all rights, title, and interest in the Services. You receive a limited, non-exclusive license to use the Services as permitted by these Terms.

7. Service Availability and Support

We strive to maintain high availability of our Services, but cannot guarantee uninterrupted operation. We provide:

  • Regular system maintenance and updates
  • Technical support during business hours
  • Advance notice of planned maintenance when possible
  • Best efforts to minimize service disruptions

8. Payment and Billing

Fees for Services are as agreed in your service agreement. Payments are due as specified in your billing terms. We may suspend Services for non-payment after appropriate notice. All fees are non-refundable unless otherwise specified in writing.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIEAURA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, REGARDLESS OF THE THEORY OF LIABILITY.

10. Indemnification

You agree to indemnify and hold harmless Vieaura from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms with appropriate notice as specified in your service agreement. Upon termination, your access to the Services will cease, and you must cease all use of our intellectual property.

12. Governing Law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Georgia.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through email or platform notifications. Continued use of the Services after changes constitutes acceptance of the new Terms.
